1. THE AGREEMENT

By creating an account you agree to these terms on behalf of yourself and, if
you are setting up a workspace for an organisation, on behalf of that
organisation. If you do not agree, do not create an account.

"the Software" means the  application in all its parts,
including everything delivered to your browser or device in order to run it.

2. LICENCE

You are granted a limited, non-exclusive, non-transferable, revocable licence
to use the Software as a hosted service, for your own project management
purposes, for as long as your subscription is current.

That is the whole of what is granted. The Software is licensed, not sold. No
ownership passes to you, and no right is granted by implication.

3. INTELLECTUAL PROPERTY AND SOURCE CODE

The Software, and every part of it, is protected by copyright and remains the
exclusive property of  and its licensors. This includes, and is
not limited to, the source code, compiled and minified code, the scheduling
and critical-path engine, the Monte Carlo simulation, the crash and delay
analyses, the data model, the interface designs and the documentation.

Running the Software necessarily delivers code to your device. Receiving that
code gives you no rights in it beyond running the Software as licensed. You
must not:

  (a) copy, extract, save, publish or redistribute any part of the Software's
      code, whether obtained from your browser, from network traffic, from
      memory, from a cache, or by any other means;

  (b) reverse engineer, decompile, disassemble, de-minify, or otherwise
      attempt to derive the source code, algorithms, structure or methods of
      the Software, except precisely to the extent that this restriction is
      void under law that applies to you;

  (c) use any part of the Software, or anything derived from studying it, to
      build, train, improve or specify a competing or comparable product,
      including by using it as input to a machine-learning system;

  (d) remove, obscure or alter any copyright, trademark or ownership notice;

  (e) circumvent, disable or interfere with any technical measure that
      controls access to, or protects, the Software.

These obligations survive the ending of your subscription and of this
agreement. They apply to you and to anyone you allow to use your account.

4. YOUR DATA

Your project data is yours. We claim no ownership of the schedules, costs,
risks or documents you put into the Software, and we do not use them to train
machine-learning models. We process them to provide the service to you.

Where you use the AI Assistant, a summary of the open project is sent to the
model provider on your instruction, using an API key you supply.

5. YOUR ACCOUNT

You are responsible for what happens under your account and for the security
of your credentials. Tell us promptly if you believe an account has been
compromised. You must not share a named seat between people.

6. ACCEPTABLE USE

Do not use the Software unlawfully, to infringe anyone's rights, to attempt to
gain unauthorised access to any system or to another customer's data, or in a
way that degrades the service for others.

7. SUSPENSION

We may suspend an account or a workspace that breaches these terms, that is
being used unlawfully, or for which payment is overdue. Where it is reasonable
to do so, we will tell you first.

8. NO WARRANTY

The Software is provided as it is. Scheduling, cost and risk outputs are tools
to inform your judgement, not a substitute for it. You remain responsible for
the decisions you take on your projects.

9. LIABILITY

To the fullest extent the law allows, we are not liable for indirect or
consequential loss, or for loss of profit, revenue, data or anticipated
savings. Nothing here limits liability that cannot lawfully be limited.

10. ENDING THIS AGREEMENT

You may stop using the Software and close your account at any time. On ending,
your licence ends immediately. Section 3 continues to apply.

11. CHANGES

We may revise these terms. A revision is published as a new version, and you
will be asked to accept it. The version you accepted continues to govern your
use until you accept a newer one.
